1. Agreement to Terms

By accessing or using Fitplex gym management software ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including gym owners, administrators, staff members, trainers, and gym members who access the platform.

2. Description of Service

Fitplex is a comprehensive gym management software that provides:

• Member management and CRM
• Billing and payment processing
• Attendance tracking (including face recognition)
• AI-powered diet and workout plan generation
• WhatsApp automation and communication
• Trainer and staff management
• Reports and analytics
• Mobile apps for members, trainers, and admins

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By registering, you represent that you have the right to operate a fitness business or manage gym operations.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized access.
• You are responsible for all activities under your account.
• We reserve the right to suspend accounts with suspicious activity.

4. Subscription and Payment

4.1 Pricing

• All prices are listed in Indian Rupees (INR) and include GST.
• We offer monthly subscription plans: Starter (₹999), Growth (₹1,999), and Pro (₹3,499).
• Annual plans are available with discounts.
• Prices are subject to change with 30 days notice.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis.
• We accept UPI, credit/debit cards, net banking, and bank transfers.
• Failed payments may result in service suspension.

4.3 Free Trial

We offer a 14-day free trial for new users. No credit card is required. At the end of the trial, you must subscribe to continue using the Service.

4.4 Refunds

We offer a 30-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 30 days of the initial purchase. Annual plan refunds will be prorated.

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Resell or redistribute the Service without authorization
• Use the Service to send spam or unsolicited messages
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Store or transmit illegal content

6. Data Ownership

6.1 Your Data

You retain ownership of all data you upload to Fitplex, including member information, billing records, and business data. You grant us a limited license to use this data solely to provide the Service.

6.2 Data Export

You may export your data at any time in standard formats (CSV, Excel, PDF). Upon account termination, you will have 30 days to export your data.

6.3 Our Intellectual Property

Fitplex, including its software, design, logos, and content, is owned by Cybex Innovation. You may not copy, modify, or reverse-engineer any part of the Service.

7. AI-Generated Content

Our AI-powered diet and workout plans are generated using artificial intelligence:

• AI plans are for informational purposes and should not replace professional medical or fitness advice.
• Users should consult healthcare providers before following diet or exercise plans.
• We are not liable for any health issues arising from AI-generated recommendations.

8. Third-Party Services

Fitplex integrates with third-party services including:

• Payment gateways (Razorpay, etc.)
• WhatsApp Business API
• Cloud hosting providers
• SMS service providers

Your use of these integrations is subject to their respective terms of service.

9. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service.
• Scheduled maintenance will be communicated in advance.
• We are not liable for downtime due to factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law:

• Fitplex is provided "as is" without warranties of any kind.
• We are not liable for indirect, incidental, or consequential damages.
• Our total liability shall not exceed the amount paid by you in the last 12 months.
• We are not responsible for data loss due to user error or third-party actions.

11. Indemnification

You agree to indemnify and hold harmless Cybex Innovation, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

12.1 By You

You may cancel your subscription at any time. Access continues until the end of the current billing period.

12.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Extended inactivity (12+ months)

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You have 30 days to export your data before permanent deletion.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
